Life after listing: the SME compliance calendar under SEBI LODR

Listing day is the start of a new routine. From that day, your company is governed by the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 — alongside the Companies Act, 2013.
What applies to SME-listed companies
SME-listed companies get some relief: certain corporate-governance provisions of LODR (Regulations 17 to 27) do not apply to them, and results are reported half-yearly. But the core disclosure obligations, insider-trading rules and Companies Act requirements apply in full.
The recurring calendar
- Half-yearly financial results filed with the exchange.
- Shareholding pattern after each reporting period.
- Investor complaints statement and reconciliation of share capital audit.
- Annual report, AGM with e-voting, and secretarial audit.
- ROC filings — AOC-4 and MGT-7 — every year.
Event-based disclosures
Board-meeting outcomes, changes in directors or auditors, material events and any deviation in the use of IPO proceeds must be disclosed promptly. Most penalties we see in the market come from late event disclosures, not from the periodic ones.
Insider trading
From listing day you need a structured digital database of insiders, trading-window closures around price-sensitive events, and a code of conduct under the PIT Regulations.
