General
What is an SME IPO?
An SME IPO is an initial public offer made on a stock exchange's dedicated platform for small and medium enterprises — NSE Emerge or BSE SME. It lets growing companies raise equity from the public under Chapter IX of the SEBI (ICDR) Regulations.
What is the difference between an SME IPO and a Main Board IPO?
SME issues are smaller, the offer document is reviewed by the exchange, a market maker is mandatory for a minimum period after listing, results are reported half-yearly and minimum application sizes are higher. Once a listed SME grows, it can migrate to the Main Board.
Eligibility
Who is eligible for an SME IPO?
Broadly, companies with post-issue paid-up capital of up to ₹25 crore, a three-year operating track record, operating profit (EBITDA) of at least ₹1 crore in two of the last three financial years, and positive net worth. Exchanges add their own criteria. Use our eligibility check for an indicative view.
Can a private limited company go for an SME IPO?
Only a public limited company can make a public issue, so a private company converts to a public limited company as part of pre-IPO restructuring. We handle the conversion and the related approvals.
Should we choose NSE Emerge or BSE SME?
Both are well-established platforms with slightly different eligibility and process norms. We compare them against your numbers, sector and investor base and recommend the one that fits.
Process
How long does an SME IPO take?
Typically four to six months from engagement to listing. Pre-IPO preparation is the variable part; exchange approval and the issue period follow fairly predictable timelines, and listing happens within three working days of the issue closing.
Are you a merchant banker?
No. ListMySME is an advisory and consulting firm. We help you select and appoint the SEBI-registered merchant banker and other intermediaries, and we coordinate the whole team on your behalf — staying accountable to you.
What documents will we need?
Audited financials for three years, statutory records, share-capital history, material contracts, licences and approvals, and KYC for promoters and directors. Our DRHP filing checklist lists the full set.
Costs & Timeline
How much does an SME IPO cost?
Costs depend on issue size, the intermediaries appointed and how much pre-IPO clean-up is needed. After the readiness assessment we give you an itemised estimate before you commit to anything.
Post-listing
What happens after listing?
Your company follows the SEBI LODR Regulations: half-yearly results, shareholding patterns, event disclosures, insider-trading controls, AGM and secretarial audit. We can run that compliance calendar for you.
When can we migrate to the Main Board?
Once your company meets the exchange's migration criteria — typically on capital, market capitalisation, profitability and shareholder base — and passes the required shareholder resolution. We assess readiness and manage the migration.
